The bit that worries me is buried. Miss the report and there is a small late fee, then three months later the state can dissolve the company. Three months is nothing. Is that really the whole runway, because other states I have looked at give you a year or more to sort it out.

The sequence is the report is missed, a modest penalty attaches, and then the state can begin dissolving the company within months rather than years. Compared with states that let a delinquent company drift for a year or two, Vermont moves quickly. The practical consequence is not the fee, it is that a bank or a client pulling your record mid dispute finds a dissolved company. Reinstatement is available and it is not expensive, but it is a filing you have to notice you need. Put the date somewhere that outlives your current phone.
