What Makes a Good LLC Service for Wisconsin Founders

Wisconsin charges no franchise tax. It charges no gross receipts tax either. Your recurring state cost is one line, the $25 annual report.

The state does tax income. Rates run 3.50% to 7.65%, by bracket and filing status. That is a real cost next to Wyoming or South Dakota. But a no-tax state only pays off if you operate there. Run a Wisconsin business through a Wyoming LLC and you still register here as a foreign LLC. Then you carry two sets of fees.

Wisconsin will hold your LLC name for 120 days for $15. You can renew it. That buys runway if you are still lining up funding or finishing an operating agreement.

One fee waiver is worth knowing about. An LLC pays no filing fee if every organizer and member is 18 or older and in school. The school can be a college, a public, private or tribal high school in this state, or a home based program. Those terms come from Form 502SE, revised June 2026. The text of Wis. Stat. 183.0122(2)(d) on the state's own site is older and narrower, and names college only, so read the form. The catch is the route. The waiver works only on that paper form, signed under affidavit. File the same articles online and the $130 is charged, and it is not refunded.

Wisconsin charges no late fee. Miss the annual report long enough and the state can administratively dissolve your LLC instead. Before that happens the department publishes a notice of administrative dissolution. File the missed report at that stage and you are back in good standing.

What to Do After You File Your Wisconsin LLC

  1. Get your EIN from the IRS (free, immediate online). You need this before opening a business bank account or hiring employees. Apply directly at IRS.gov.
  2. Appoint and maintain a registered agent in Wisconsin. The agent must live in the state or be a business authorized to operate here. A physical street address is required, staffed in normal business hours. A PO box will not do.
