How We Chose the Best LLC Services for Virginia

Virginia's $100 filing fee is the same whoever sends it in. So the filing is not where these services differ. The year after is. We checked whether each one tracks the $50 annual registration fee. We checked what it charges to be your agent once the free first year ends. And we checked whether it will sign as organizer, so your own name stays off the record. The State Corporation Commission publishes no standard turnaround for online filings. So we scored on what each provider promises in writing, not on speed claims nobody can check.

The $50 is the part founders miss. It falls due on the last day of your anniversary month. Late adds $25. Three months after the due date, your company is canceled. Coming back costs $100 plus every fee you skipped. You get five years to ask.

Northwest is our top pick for LLC formation. The $39 package carries a business address, domain, website, email, phone line and mail scanning, plus the filing itself and a year of registered agent service. An EIN and a prepared operating agreement sit in the $139 package, not this one. It is privately held, and the Corporate Guides know the state rules they are quoting. The dashboard is plain rather than polished. At $125 a year to renew, that is a fair trade.

Pros

  • The $39 entry package covers the state filing and a full year of registered agent service.
  • Business Identity comes free, a business address, domain, hosted website, email address and phone line.
  • Agent renewal has held at $125 a year for 20 years, with no contract and cancellation at any time.
  • Registered agent mail is scanned and uploaded to your account at no extra charge, with no document cap.
  • Every filing carries a 100% error-free guarantee, and Northwest files any correcting amendment at no cost.
  • U.S.-based Corporate Guides who actually answer the phone.

Cons

  • An EIN and a prepared operating agreement need the $139 Deluxe package, not the $39 one.
  • Same-day processing only comes with the $199 Premium package.
  • The free business address scans just five pieces of mail a year, unlimited scanning is $20 a month.
  • Customer support is not available on weekends.
  • Online cancellation process can be cumbersome.
  • The free phone line covers 10 calls and 10 texts a month, unlimited talk and text is a $9 a month upgrade.

Best For: Founders who want a complete business setup (formation, address, domain, email, website, phone) in one $39 entry package.

Premium

+ state fees, renews at $399/yr

  • All Pro features
  • Registered agent service included
  • Advanced Compliance Protection

ZenBusiness runs the smoothest filing in this category. The setup walks a first-time founder through every step, and the dashboard chases your deadlines for you. Starter is $0 and never renews, so a founder who buys nothing else pays the state and stops. The catch sits beside it. Pro renews at $199 a year and Premium at $399, and on Starter the EIN, the operating agreement and the agent are each priced on their own. A strong pick if you want a polished filing and you read the cart before you pay.

Pros

  • Starter is $0, you pay only the state fee
  • The dashboard is the clearest we have used
  • Phone support runs 7 days a week
  • A free first year of Worry-Free Compliance on Starter
  • Good mobile app, 4.6 stars on iOS

Cons

  • Heavy push for add-ons at checkout
  • On Starter the EIN, the operating agreement and the agent each cost extra, $99, $99 and $199 a year
  • Renewals climb, Pro at $199 a year and Premium at $399
  • Auto-renewing subscriptions are hard to cancel

Formation is the free part. The logo and website builders are easy to use, and the guided setup is beginner friendly. The catch is checkout. Plan prices stay hidden until the end, a $39 a month bookkeeping trial comes pre-checked, and the registered agent most founders need costs $199 a year. That puts the real first-year cost at $199 plus your state's filing fee. If you want branding and formation together, it works. If you only need the LLC, Northwest files for a flat $39 with no upsells.

Pros

  • Free Lite plan files the LLC for $0 plus your state fee
  • Beginner-friendly dashboard that is easy to navigate
  • Built-in logo maker and website builder in one dashboard
  • Customer support available on weekends
  • Guided questionnaire walks you through setup

Cons

  • Plan prices stay hidden until the end of the questionnaire
  • Pre-checked $39 a month bookkeeping trial you must cancel yourself
  • Registered agent service costs $199 a year, more than budget rivals

Best For: First-time founders who want LLC filing and basic branding tools in one place.

Premium

  • Free Year of Registered Agent ($119 Value)
  • EIN / TAX ID ($75 Value)
  • 24-hour Order Processing ($50 Value)

FileNow runs the cleanest checkout in this category. Two plans, no pre-checked add-ons, no hidden fees, and every price visible before you commit. The speed is real but it is priced. FileNow's own plan comparison puts 24-hour order processing inside the $199 Premium plan and values it at $50, and same day filing is a separate $75 to $150 add-on on either plan. The $49 Starter files your Articles and runs the name search, nothing more, and the registered agent costs $119 a year on top of it. Premium bundles the agent for a free first year, the EIN, an operating agreement, a banking resolution and contract templates, which FileNow lists at $443 of value against the $199 price.

Pros

  • Checkout is transparent, no pre-checked add-ons and no hidden fees
  • Premium at $199 includes 24-hour processing, a free agent year, the EIN and an operating agreement
  • Two plans only, so the choice takes a minute
  • Support runs on phone, chat and email
  • Every plan price is shown per state before you start

Cons

  • No free formation tier, the entry plan is $49
  • 24-hour processing belongs to Premium, the $49 Starter does not carry it
  • Same day filing is an extra $75 to $150 on either plan
  • Starter leaves out the registered agent, which is $119 a year
  • No ongoing compliance dashboard

Best For: Entrepreneurs who want a clean, upsell free checkout and will take the $199 Premium plan to get 24-hour processing.

Premium

  • 2 months of unlimited attorney consultations

Swyft Filings lives up to its name by offering some of the fastest LLC formation times on the market. Their 5-step setup process is simple and easy for beginners to understand. However, their aggressive upsells and missing registered agent service make their $0 starting price highly deceptive. We recommend them only if you desperately need same-day processing and know exactly which add-ons to decline.

Pros

  • Exceptionally fast processing speeds
  • Streamlined 5-step application interface
  • Knowledgeable and responsive phone support
  • Basic package starts at $0 plus state fees
  • No confusing legal jargon during setup

Cons

  • Registered agent service is billed quarterly at $149, which is $596 a year
  • Aggressive multi-page upsell flow
  • Difficult cancellation process for ongoing subscriptions

Best For: Founders needing fast turnaround who can navigate heavy upsells.

Premium

  • Bookkeeping tools (6-month subscription)

LegalZoom relies heavily on its brand recognition to charge premium prices for basic services. While the platform is easy to navigate and offers excellent legal document libraries, the checkout process is a maze of expensive upsells and auto-renewing trials. We do not recommend it if you are on a budget. You will end up paying significantly more for registered agent and compliance services than you would with competitors.

Pros

  • Highly intuitive platform that is easy for absolute beginners to navigate.
  • Access to a massive library of legal documents and forms.
  • Long-standing brand reputation provides reliability and peace of mind.
  • Customer support is available seven days a week.
  • Basic LLC formation is free excluding mandatory state fees.

Cons

  • Incredibly aggressive upselling for simple tasks like obtaining an EIN.
  • Registered agent fees are heavily inflated at $249 per year.
  • Checkout includes pre-selected free trials that auto-renew at high prices.
  • Standard processing times are slow unless you pay a $99 expedite fee.

Best For: Founders prioritizing brand recognition and access to an extensive legal document library.

What Makes a Good LLC Service for Virginia Founders

Virginia keeps member and manager names off the Articles of Organization. The form asks for an organizer and an agent instead. Let your registered agent sign as organizer and your name never reaches the record. Read that narrowly. The record is not empty. It holds your agent, which is why the agent you pick matters for the life of the company.

Virginia is also a protected series state. Article 16 of the state LLC Act lets one company hold separate series. Each series keeps its own assets behind its own shield. A landlord uses it to stop four buildings from taking each other down. Each series costs $100 to file, the same as the LLC itself. Then the annual fee statute assesses every protected series separately, so each one owes its own $50 a year too. Four buildings in four series is $400 to file and $250 a year across the parent and its series. The math only works across several assets, and it does not stop after year one.

The name you want costs $10 to hold. It lasts 120 days. You can renew it for another 120 in the 45 days before it lapses. Still writing the plan? That is four months of certainty for the price of lunch.

There is no franchise tax here. A plain Virginia LLC pays $100 once, then $50 a year. The bill does not move with what you earn. Our Virginia LLC guide walks the filing itself step by step.

Northwest Registered Agent's Virginia LLC page beside a preview of Virginia Form LLC1011, the Articles of Organization, showing sections for LLC information, principal office, registered agent and qualification
Northwest's Virginia page, captured August 27, 2026. It reproduces Form LLC1011, the Articles of Organization you actually file. Note Section III. The form asks for a registered agent, not for members.

What to Do After You File Your Virginia LLC

  1. Get your EIN from the IRS. It is free and it is instant. You need it for a bank account, for staff, and for taxes. Apply at IRS.gov and pay nothing.
  2. Pay the $50 annual registration fee. It is due on the last day of your anniversary month. Virginia does not call it an annual report. It is a flat fee to the Commission and it does not scale with what you earn. That same section lets the Commission take two or three years up front, online. Look for the option when you pay. It also lets the Commission move your due date by one to eleven months, at your agent's request or to spread its own workload. So pay from the notice the Commission sends, not from the anniversary in your head.
  3. Skip the BOI report. FinCEN exempted every company formed in the United States in March 2025. A final rule made that permanent on 14 August 2026. A domestic Virginia LLC files nothing. Only companies formed abroad still report. A letter demanding a fee to file one is a scam, and FinCEN says so.
  4. Check your county or city. Virginia has no general state business license. But many localities license businesses themselves and tax gross receipts. Fairfax, Arlington and Richmond all do. Rates and thresholds vary by place.
  5. Draft an operating agreement. Virginia does not require one. Banks ask for it anyway when you open an account. It is also what a court reads if your liability shield is challenged.
  6. Register for state taxes if they apply. Sell physical goods and you need a sales tax permit. Hire anyone and you register with the Virginia Employment Commission. Neither happens by itself.

Virginia LLC Tax Overview

Virginia taxes corporate income at a flat 6 percent. An LLC that elects corporate treatment pays that. Most do not elect it. A default LLC hands its profit to the members. They pay the state's individual rates, 2 percent on the first $3,000 and 5.75 percent above $17,000. There is no franchise tax and no state tax on gross receipts. Counties, cities and towns can levy their own license tax on gross receipts. That local bill is the one that surprises people. Selling goods? Then you register for sales tax, 4.3 percent to the state before local add-ons.

Hidden Costs to Watch Out For in Virginia

Horizontal bar chart of every Virginia LLC fee from the 6 dollar certificate of good standing to the 100 dollar reinstatement after cancellation, with the reinstatement bar highlighted in gold
Every fee on Virginia's LLC schedule, verified August 25, 2026 in the Code of Virginia. Four bars cost less than the $50. It is still the only one that ends the company. That is how it turns into the gold bar at the bottom.
  • Missing the $50 ends the company - The fee falls due on the last day of your anniversary month. Late adds $25. Three months on, your LLC is canceled automatically, and the statute says that happens whether or not the Commission mailed you notice.
  • Coming back costs more than starting did - Reinstatement is $100. On top of that you owe every fee and penalty you would have paid had you never lapsed. You get five years to ask. Lose the name to somebody else meanwhile and you file articles of amendment at $25.
  • An agent who resigns starts a second clock - Unpaid fees are not the only way to lose the company. When your registered agent files a statement of resignation, you must name a replacement. You get 31 days. Miss it and the Commission mails a cancellation notice, then the same section ends your existence on the last day of the second month after that notice went out.
  • Every change to the Articles is $25 - The name, the purpose, anything printed on them. Each edit is its own filing. And its own fee.
  • A protected series costs $100 to open and $50 every year after - Each designation is its own $100 filing, the same price as the LLC. And the annual fee statute assesses every series separately, so each one keeps billing $50 a year for as long as it exists. People plan for the $100. Few plan for the rest.

Frequently Asked Questions About Virginia LLCs

How much does it cost to form an LLC in Virginia?

The Commission charges $100 to file the Articles of Organization. After that it is $50 a year, due on the last day of your anniversary month. A formation service adds its own fee on top. The state's share does not change. Pay the annual fee late and the Commission adds $25.

Does Virginia require a registered agent?

Yes, and Virginia is stricter than most states about who qualifies. An individual agent must be a Virginia resident and also a member, manager or designated officer of the company, an insider of an entity that owns it, or a member of the Virginia State Bar. Your neighbor does not qualify. The other route is a business entity authorized to transact business here, whose own office is the registered office. That second route is what the services on this page sell.

How long does LLC formation take in Virginia?

The Commission publishes no standard turnaround. So any number of days you read is somebody's guess. What the Commission does publish is the price, $100. A service can file the same day you order. None of them can make the Commission move faster.

Can I form an anonymous LLC in Virginia?

Partly. The Articles name an organizer and an agent, not the members. So your name need not appear at all. Your agent's name and address do appear, and they stay there. What you get is distance, not invisibility. Anyone searching the Commission's records can read your agent's address on the day they look.

What is the most common mistake Virginia LLC owners make?

Missing the annual registration fee. It is $50. It arrives on a date nobody remembers, the anniversary of the month you filed. Late adds $25. Three months after that due date the company is canceled automatically, whether or not the Commission mailed you a warning. Coming back costs $100 plus everything you skipped.

Can I register an out of state LLC to do business in Virginia?

Yes, and it costs the same $100 as forming a new one. You file an application for registration as a foreign limited liability company. From then on Virginia bills you like any domestic LLC. Same $50 every year. Same twelfth month schedule, and the same cancellation risk if you miss it. The formation services on this page file that registration too.

Is it better to form an LLC through a lawyer or online?

One owner, no outside money? Online is fine, and filing it yourself is cheaper still. Call a lawyer when ownership is split. Call one when money comes from outside. And call one when the operating agreement has to survive an argument.
