What Makes a Good LLC Service for South Dakota Founders

South Dakota allows Series LLCs. It is one of the few states that gives them their own filing. A master series LLC files Master Series Articles of Organization at $200, not the usual $150, and each protected series then needs its own certificate of designation from the state. Under SDCL 47-34A-702, one series is shielded from another's debts only if three things are true. The operating agreement creates the series. The records are kept apart. The liability limit is written into the articles. None of that happens by default, and most formation packages skip it.

Privacy here is narrower than either side of the usual argument. South Dakota does not sell anonymity the way Wyoming does. It does not put owners on the record either. SDCL 47-34A-203 asks the articles for the name and address of each organizer. It asks for managers only if the LLC is manager managed. It never asks for members. The annual report is the other public filing, and SDCL 59-11-24 exempts a member managed LLC from listing its governors. So the field that can expose you is the organizer line, plus the manager line if you pick manager management.

The $55 annual report is due before the first day of your anniversary month. Go delinquent and the state adds a $55 penalty. That takes a missed report to $110. Stay delinquent and the LLC is dissolved. Getting it back costs $150 plus every report you skipped.

One thing is about to change. SDCL 59-11-25 was amended in the 2026 session and takes effect on January 1, 2027. From then you pick your own report date. It is either your anniversary month or a fixed 31 January, and the choice goes on the formation document. File in late 2026 and expect that question.

Two more quirks matter here. Bringing an existing out of state LLC to South Dakota costs $750. That is five times the domestic fee, so forming here to save money rarely works if you already trade elsewhere. Since 2024 the annual report also asks whether the company owns farm land. It asks whether the company has foreign beneficial owners. The state then publishes a list of those companies each December. What to Do After You File Your South Dakota LLC

  1. Get your EIN from the IRS. It is free, and you do it online at irs.gov. You need it for a business bank account and for payroll.
  2. Appoint a registered agent with a physical South Dakota address. Your agent must be a state resident or a business authorized to operate here. A P.O. Box does not qualify.
  3. File your annual report before the first day of your anniversary month. It is $55 online and $70 on paper. A late one costs $55 more.
  4. Draft an operating agreement. The state does not require one. Banks and lenders will still ask for it. If you want a Series LLC, this is the document that has to create the series.
  5. Check whether your city or county wants a local licence. There is no general state business licence. Sioux Falls and Rapid City run their own permit rules.
  6. Skip the federal Beneficial Ownership Information report. FinCEN exempted every company created in the United States in a rule published on March 26, 2025. A final rule made that permanent on August 14, 2026. A domestic South Dakota LLC files nothing. Only entities formed under foreign law and registered here still report. A letter asking for a fee to file one is a scam, and FinCEN says so.

South Dakota LLC Tax Overview

South Dakota has no personal income tax and no corporate income tax. Your profit is taxed once, on your federal return. That gap is worth naming against the neighbours. Minnesota's top individual rate is 9.85 percent for 2026. Iowa now runs a 3.8 percent flat rate after its 2024 reform finished phasing in. One catch never makes the headline. A no tax state only helps if you live or work there, because the state where you do business taxes the income wherever the LLC was formed.

Hidden Costs to Watch Out For in South Dakota

  • Foreign LLC registration is $750 - Bringing an out of state LLC here costs five times the domestic fee.
  • A late annual report costs $55 extra - Miss the date and the state adds a $55 penalty on top of the $55 reporting fee, so a forgotten report costs $110.
  • Reinstatement is $150 plus back fees - If the state dissolves your LLC over missed reports, you pay $150 on top of every report you owe.
  • Paper filing costs $15 more - Articles are $150 online and $165 by mail. The annual report is $55 online and $70 by mail. Same documents either way.

Reading the same answer twice because it cannot be right. It says online filings are processed immediately, then offers expedited handling for an extra fifty dollars that comes back within 24 hours. Immediately is faster than 24 hours. So what is the fifty dollars actually for?

Nothing, if you file online, and that answer of ours needs rewriting. South Dakota's online path returns the approval straight away, so there is no queue for expedited handling to jump. The extra fee exists for filings that arrive on paper, where there genuinely is a pile and paying moves you up it. Two true facts got welded into one sentence and the result reads like a trap. If a formation service quotes you expedited handling on an online South Dakota filing, ask them plainly what it buys, because it may just be their own turnaround rather than the state's.
