Nebraska stays cheap. The state fee is $100 online, and the biennial report is $25 online every two years. That is still one of the lowest ongoing costs in the country.

Most guides say the report is $13. Nebraska's fee statute, Neb. Rev. Stat. 21-192, sets every LLC filing at $25 online and $30 on paper. It names two exceptions and both cost more, not less. Forming the LLC is $100 online and $110 on paper, and designating a protected series is the same pair. The Secretary of State prints no separate price for the report on its fee schedule, which is how the old number survived.

The publication rule is what sets Nebraska apart. After the state approves your LLC, you must run a Notice of Organization in a county newspaper for three straight weeks. Only a few states still do this. Cost swings by county. A Lancaster County paper can run under $50, while Douglas County papers near Omaha often top $150.

Nebraska also allows Series LLCs. You can hold several assets under one umbrella, each walled off from the others. That helps real estate owners most. The state fee schedule prices each protected series at $110 and lists no online route for that filing. 1. Publish your Notice of Organization. Run it in a legal newspaper in your LLC's county for three straight weeks, then file your Proof of Publication with the state for $25 online. The exact filing is on the Secretary of State fee schedule.
2. Get your EIN from the IRS. It is free and takes about 10 minutes. Apply directly at the IRS EIN page and skip the paid services.
3. Open a business bank account. Keep your business money separate from your personal money. You will need your EIN and your approval documents.

5. Check local licensing. Nebraska has no general state business license, but cities like Omaha and Lincoln may want a local permit depending on your work.

One step most guides still list wrongly is the federal BOI report. FinCEN exempted every company formed in the United States in March 2025. A final rule made that permanent on August 14, 2026. A Nebraska LLC files nothing. Only entities formed under foreign law still report, and they no longer name their US owners. A letter asking for a fee to file one is a scam, and FinCEN says so.
