Step 2

Choose a Registered Agent in New Mexico

Every New Mexico LLC must have a registered agent with a physical street address in the state who can accept legal documents on your behalf.

Your registered agent takes the legal notices, the tax mail and anything else the state sends. It can be a resident individual, or a business entity authorized to operate here. Either way the address has to be a real street address in the state. A P.O. box will not do.

File Your Articles of Organization with New Mexico

This filing is what creates your LLC. New Mexico takes it online only.

Filing starts at enterprise.sos.nm.gov. Create an account if you do not have one, then pick the option to form a new domestic LLC and open the Articles of Organization form.

The form wants your LLC name, your registered agent's name and street address, each organizer's name and address, and your principal office address. It also asks whether members or managers run the company. Read it twice before you submit. If the state sends it back you have 90 days to correct it. Filings returned again and again get rejected.

Get an EIN for Your LLC

An EIN is your federal tax ID. It comes free from the IRS, and you need it to open a bank account, hire anyone or file the company's taxes.

Apply for the EIN yourself on IRS.gov. It is free. The online form takes about ten minutes and hands you the number at the end. Form SS-4 by mail works too, it is just slower.

Create an Operating Agreement for Your New Mexico LLC

An operating agreement sets out who owns the LLC and who runs it. New Mexico does not require one. Write one anyway.

New Mexico does not require an operating agreement. Skipping it is still a mistake. Without one, a dispute between members falls back on the default rules in the state's LLC Act. Those rules may not be yours. Banks, investors and courts read the document as evidence the company is real.

A dedicated business bank account keeps your personal and LLC finances separate, which is essential for maintaining your liability protection.

Open the business checking account as soon as the LLC is approved and the EIN arrives. This one is not optional. Run company money through a personal account and a court has an easy argument that the LLC was never separate. It also makes tax time far simpler.
